Terms of Service

1. Agreement to These Terms

These Terms of Service (“Terms”) form a legally binding agreement between you and ROOTECH SOLUTIONS (ABN 28 315 635 680), the operator of the Sprout Lessons service (“Sprout Lessons”, “Sprout”, “we”, “us”, or “our”). By accessing or using the Sprout Lessons website, application, or services (the “Service”), you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Description of the Service

Sprout provides a platform that generates interactive, standards-aligned HTML lessons and short videos using artificial intelligence, based on the topic and preferences you provide. The Service includes a free trial allowance of credits on signup, and paid access to lesson generation through subscriptions and one-off credit packs. Sprout does not provide professional teaching, educational assessment, medical, legal, or financial advice. You remain responsible for the suitability of any lesson for your students and curriculum.

3. Eligibility and Account Registration

To use the Service you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the confidentiality of your account credentials
  • Notify us promptly of any unauthorised access or use

You are responsible for all activity that occurs under your account.

4. Pricing and Payments

Credits and plans

The Service runs on credits. New accounts receive a one-time allowance of free credits on signup. Additional credits are available through monthly subscriptions (Substitute, Educator, and Professor tiers) and through one-off credit packs. Subscription credits are a monthly allowance with no rollover — unused subscription credits do not carry over to the next period. One-off credit-pack credits do not expire. Generating a lesson deducts credits based on the effort tier you select.

Payment terms

Payments are processed securely by Stripe and billed in Australian dollars (AUD). Sprout does not store full payment details. Prices may change from time to time; changes do not apply retrospectively.

Refunds

Except where required by the Australian Consumer Law, payments are non-refundable once credits have been spent or lesson generation has commenced. Nothing in these Terms excludes or limits your rights under the Australian Consumer Law, including guarantees that cannot be excluded by law.

5. User Content and Intellectual Property

You retain ownership of the inputs you submit and of the lessons and videos generated for you (“User Content”). By using the Service you grant Sprout a non-exclusive, royalty-free, worldwide licence to process, store, reproduce, and modify your User Content, and to use AI services (including third-party providers) to generate lesson content — solely to provide the Service.

You represent and warrant that:

  • You own or have the right to use all inputs you provide
  • Your inputs do not infringe third-party rights or violate any law
  • You have consent from any person whose personal information appears in your content

Sprout is not responsible for verifying the accuracy or legality of User Content.

6. AI-Generated Content and Approval

The Service uses automated systems and artificial intelligence to generate lessons and videos. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or content that is not suitable for every age or context
  • You are responsible for reviewing and verifying the accuracy, age-appropriateness, and curriculum alignment of every lesson before using it with students
  • Sprout is not responsible for content that is used without such review

Final responsibility for the content rests with you.

7. Prohibited Use

You must not use the Service to:

  • Violate any law or regulation
  • Infringe intellectual property or privacy rights
  • Submit a child’s directly identifying personal information
  • Upload malicious code or interfere with the Service
  • Harass, abuse, or harm others
  • Impersonate another person
  • Scrape, reverse engineer, or exploit the Service

We may suspend or terminate access for breaches of this section.

8. Third-Party Infrastructure and Data Hosting

Sprout relies on third-party providers to operate. Your data is stored and processed by:

  • Supabase — database, authentication, and file storage (hosted on AWS)
  • Anthropic and OpenRouter — AI lesson generation (they receive the lesson inputs you provide)
  • Stripe — payment processing
  • Vercel — hosting

All of these providers are based in the United States. By using Sprout, you acknowledge and expressly consent (for the purposes of Australian Privacy Principle 8.2(b)) to the disclosure of your personal information to these overseas recipients, that the Australian Privacy Principles may not apply to how they handle it, and that you may not be able to seek redress against an overseas recipient under the Privacy Act 1988 (Cth) in the event of a breach on their part. Sprout is not responsible for the acts or omissions of these providers, including data breaches, outages, loss of data, or security incidents within their infrastructure. We take reasonable steps to engage reputable providers and to contractually require appropriate security practices, but we cannot guarantee their conduct. If an overseas provider suffers a data breach affecting your information, Sprout will comply with its obligations under the Notifiable Data Breaches scheme and notify you as soon as practicable; your primary claim for compensation in such circumstances may lie against the relevant provider rather than against Sprout.

9. Service Availability and Changes

We may modify, suspend, or discontinue the Service (or any part of it) at any time, and may be affected by outages or changes made by third-party providers over which we have no direct control. We do not guarantee continuous availability, error-free operation, or that the Service will meet all expectations. To the extent permitted by law, Sprout is not liable for interruptions or changes to the Service.

10. Termination

We may suspend or terminate your access if you breach these Terms, use the Service unlawfully, or pose a risk to the Service or other users. You may stop using the Service at any time.

11. Consumer Law Notice

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy available under the Australian Consumer Law that cannot be lawfully excluded. Where a guarantee applies, Sprout’s liability is limited (at our option) to re-supply of the Service or the cost of having the Service re-supplied.

12. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”. We do not warrant that the Service will be uninterrupted, error-free, or suitable for your specific purpose.

13. Limitation of Liability

To the maximum extent permitted by law:

  • Sprout is not liable for indirect, incidental, consequential, special, or punitive damages
  • Sprout is not liable for loss of data, profits, revenue, goodwill, or opportunity
  • Sprout’s total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
  • Sprout is not liable for any loss, damage, or harm arising from a data breach, security incident, outage, or failure occurring within the infrastructure of a third-party provider (including Supabase, Anthropic, OpenRouter, Stripe, or Vercel)
  • Sprout is not liable for unauthorised access to your personal information resulting from a failure of third-party infrastructure, provided we have taken reasonable steps to protect your information consistent with APP 11 of the Privacy Act 1988 (Cth)

Nothing in this clause limits any non-excludable rights you hold under the Privacy Act 1988 (Cth) or the Australian Consumer Law.

14. Indemnity

You agree to indemnify and hold Sprout harmless from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your breach of these Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria.

16. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Service constitutes acceptance of the updated Terms.
